Membership Agreement

Bay Center, Inc. (“BCI”) is a licensed and permitted Medical Cannabis Dispensary (“MCD”) and operate in strict accordance with Article 33 of the San Francisco Health Code and California law.  By signing this agreement, you agree to the following terms and conditions:

Purpose & Terms of Use

This agreement delineates the rights, terms, and conditions of membership in BCI

BCI membership is granted on an individual basis and is subject to the terms and conditions of this agreement.

General Membership entitles qualified patients access to BCI’S products and use of our services, subject to restrictions that may be amended at our discretion.

Eligibility for General Membership

To be eligible for membership with BCI, the member must:

Be a qualified patient as defined by CA Health and Safety Code § 11362.5 et seq.;

Possess a valid and verifiable physician’s recommendation for medical cannabis;

Possess valid, government-issued identification verifying patient is at least 18 years of age at the time of application; and,

Possess proof of California residency.

Disclosures

BCI is full service medical cannabis dispensary that exists to facilitate the collaborative efforts of its membership in cultivating, manufacturing, distributing, testing and dispensing medical cannabis to its member-patients. BCI does not purchase medical cannabis from or sell to non-members.

BCI operates as a California non-profit mutual-benefit corporation, and BCI membership delegate’s authority for operation and management of the collective to the corporation’s duly appointed officers.

BCI operates in a not-for-profit manner. In accordance with applicable state and local laws, compensation is only received for the reasonable costs of operating the dispensary, including compensation incurred for services provided to qualified patients to enable that patient to transport cannabis pursuant to CA Health & Safety Code § 11362.7 et seq., or for payment of reasonable out-of-pocket expenses incurred in providing those services, or both. Reasonable out-of-pocket expenses may include expenses for patient services, rent or mortgage, utilities, employee costs, furniture, maintenance and reserves. Sale of medical cannabis to cover anything other than reasonable compensation and out-of-pocket expenses is explicitly prohibited.

All medical cannabis distributed by BCI is cultivated, manufactured and processed in the State of California and has not left the State before arriving for dispensing among BCI members.

All activities related to medical cannabis conducted by BCI in comply with applicable state and local laws. BCI operates in compliance with SF Health Code and Article 33 and with CA Health & Safety Code § 11362.7 et seq., and the CA Attorney General Guidelines.

All medical cannabis products, flower, extract, edible, or otherwise, distributed by BCI has been cultivated and/or manufactured by our collective or by our vendor members

Charitable Giving Policy: In compliance with state and local law, BCI operates in a not-for-profit manner and collects reimbursements from members for reasonable expenses associated with cultivating and distributing medical cannabis to BCI patients. Further, BCI is committed to helping our members and the community by providing subsidized services, such as delivery service, and other charitable contributions. BCI reserves the right to levy a surcharge on transactions between members and the collective to fund these activities. By signing this contract, member acknowledges and consents to contribute to these efforts. Member acknowledges that BCI is not a tax-exempt organization under applicable state or federal revenue codes.

Proposition 65 Notice: In 2009, the CA Office of Environmental Health Hazard Assessment added marijuana smoke to its list of chemicals known to cause cancer. Member hereby acknowledges receipt of this notice.

Membership Standards of Behavior and Responsibilities; Use and Verification of Personal Health Information

By signing this membership agreement, you acknowledge and agree that BCI may use or disclose the contents and authenticity of the medical cannabis recommendation provided by you for verification of eligibility for membership

By signing this membership agreement, you promise t the medical cannabis recommendation and any other documentation provided by you for the purpose of verifying eligibility for membership is accurate, truthful and correct to the best of your knowledge.

By signing this membership agreement, you agree that BCI, and its authorized agents, may disclose your voluntarily-provided personal health care information.

Membership Standards of Behavior and Responsibilities; Termination

By signing this agreement you acknowledge reviewing BCI’S Membership Code of Conduct. Member further understands that violation of this Agreement and/or the Code of Conduct may result in immediate termination of membership at BCI or other disciplinary remedies as appropriate. Member acknowledges that BCI may, at their discretion, amend and update this Code of Conduct. BCI reserves the right to terminate this agreement with any member at any time.

Informed Consent

You acknowledge that BCI makes no claims, of any sort, on behalf of any products, services, or treatment protocols for any condition whatsoever.  You understand that you should continue to seek professional medical consultation and monitoring while using any cannabis product.

Waiver; Indemnification

Member Risk: In consideration of services rendered to you by BCI, you agree, for yourself and your heirs, executors and assigns, to hold BCI harmless from any loss, theft, cost, claim, injury, damage or liability (“Damages”) incurred as a result of the use of BCI products or services provided by BCI. You have been informed and acknowledge that BCI makes no claims as to medical results that can be obtained through use of BCI products and have neither suggested nor will suggest any medical treatment to members. You understand that cannabis remains a prohibited substance under Federal law and accept all risk associated with its possession and consumption.

Acknowledgements: You understand that your monetary contributions to BCI, if any, are used to support the continued operation of BCI and that this transaction in no way constitutes commercial promotion. You declare that you will not deliver any product obtained from BCI to any other person not authorized by California law to possess them.

Amendments

Member acknowledges that BCI reserves the right to amend or update this agreement periodically and will provide notice to the member in the event of any change in terms.
